Terms of Use
1. Acceptance of Terms
By accessing or using AgentLock (the “Service”), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity. If you do not agree to these terms, you must immediately cease all use of the Service.
2. Eligibility and Age Restriction
The Service is intended solely for users who are eighteen (18) years of age or older. By using the Service, you represent and warrant that you are at least 18 years old and possess the legal capacity to enter into a binding contract. Any misrepresentation of your age may lead to the immediate termination of your account without notice.
3. Description of Service
AgentLock provides a security gateway for AI agents, including an approval gateway, policy engine, encrypted credentials vault, and an action timeline with undo capabilities. You acknowledge that AgentLock is an intermediary tool and does not develop or control the underlying AI models or agents you choose to integrate.
4. User Responsibilities and Human-in-the-Loop Requirement
The Service relies on human oversight. You are solely responsible for: (a) Configuring appropriate policies and risk assessments for your workspace. (b) Reviewing and approving or rejecting agent requests in the Approval Inbox. (c) Ensuring that your agents use cryptographic signatures as required. (d) Maintaining the confidentiality of your login credentials. Any action approved by you or your designated approvers via the Service is deemed an authorized action by you, and AgentLock shall not be liable for the consequences of such actions.
5. Prohibited Uses
You shall not use the Service for any illegal or unauthorized purpose. Prohibited activities include, but are not limited to: (a) Attempting to reverse engineer or decompile the Service or SDKs. (b) Bypassing the Approval Gateway or misrepresenting agent identities. (c) Using the Service to automate high-stakes decisions with significant legal or life-altering impacts (e.g., medical, credit, or legal determinations). (d) Storing unencrypted secrets in logs or non-vault fields.
6. Proprietary Rights and Intellectual Property
AgentLock and its licensors retain all right, title, and interest in and to the Service, including all software, SDKs, and proprietary security mechanisms. You are granted a limited, non-exclusive license to access the Service during your subscription term.
7. Fees and Payment
Subscription fees are based on your selected tier and are non-refundable except where required by law. Usage beyond agreed limits (e.g., API rate limits or action volumes) may incur additional charges or temporary suspension of service.
8. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE” without any warranties of any kind. AgentLock does not warrant that the Service will be uninterrupted, error-free, or that AI agents will perform as expected. You assume all risks associated with the use of probabilistic machine learning models.
9. Limitation of Liability
To the maximum extent permitted by law, AgentLock’s total aggregate liability for any claim arising out of this agreement shall not exceed the total amount of fees paid by you in the twelve (12) months preceding the event. In no event shall AgentLock be liable for indirect, incidental, or consequential damages, including loss of profits, data, or reputation.
10. Termination
We reserve the right to suspend or terminate your access to the Service at our sole discretion if we determine you have breached these terms or if your use of the Service poses a security risk to us or others.
11. Governing Law and Dispute Resolution
This Agreement shall be governed by Swiss law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is the registered office of the provider in Switzerland. Mandatory consumer protection provisions of the country in which the user has their habitual residence remain unaffected.
12. Privacy Policy and Cookies
By using the Service, you acknowledge and accept our Privacy Policy, available at https://agentlock.net/legal/privacy-policy. The Privacy Policy forms an integral part of this agreement and describes how we collect, process, and use personal data, including the use of cookies.
